Effective Jan. 1, 2015, the Florida Revised Limited Liability Company Act governs all LLCs in the state.

- Required operating agreement provisions that cannot be waived (existing provisions contrary to these are now considered unenforceable) – such as the LLC’s capacity to sue or be sued.
